Article 1 – Definitions

In these Terms & Conditions, the following definitions apply:

  • Cooling-off period: the period during which the consumer may exercise the right of withdrawal;

  • Consumer: a natural person acting for purposes outside their trade, business, or profession who enters into a distance contract with the entrepreneur;

  • Day: calendar day;

  • Ongoing contract: a distance contract relating to a series of products and/or services, the delivery and/or purchase obligation of which is spread over time;

  • Durable medium: any means that enables the consumer or entrepreneur to store information addressed personally to them in a way that allows future consultation and unchanged reproduction;

  • Right of withdrawal: the consumer’s right to withdraw from the distance contract within the cooling-off period;

  • Entrepreneur: the natural or legal person offering products and/or services to consumers at a distance;

  • Distance contract: a contract concluded within an organized system for distance selling using one or more means of distance communication;

  • Means of distance communication: any means that can be used to conclude a contract without the consumer and entrepreneur being physically present at the same time;

  • Terms & Conditions: these General Terms & Conditions of Noir Valence.

Article 3 – Applicability

These Terms & Conditions apply to every offer made by Noir Valence and to every distance contract and order concluded between Noir Valence and the consumer.

Before a distance contract is concluded, the text of these Terms & Conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated where the Terms & Conditions can be reviewed and that they will be provided free of charge upon request.

If the contract is concluded electronically, these Terms & Conditions may be provided electronically in such a way that the consumer can easily store them on a durable medium.

If specific product or service conditions apply in addition to these Terms & Conditions, the most favorable provision for the consumer shall prevail in the event of conflicting conditions.

If any provision of these Terms & Conditions is invalid or void, the remaining provisions shall remain in full force. The invalid provision shall be replaced by a provision that most closely reflects its original intent.

Situations not covered by these Terms & Conditions shall be assessed in accordance with their spirit.


Article 4 – The Offer

If an offer has a limited validity period or is subject to conditions, this will be clearly stated.

All offers are non-binding. Noir Valence reserves the right to modify or withdraw offers.

Product descriptions are accurate and sufficiently detailed. Images are representative; however, colors may differ due to screen settings.

Obvious errors or mistakes do not bind Noir Valence.

Each offer clearly states:

  • The price (excluding import duties and import VAT where applicable);

  • Shipping costs, if any;

  • The method of concluding the contract;

  • Whether the right of withdrawal applies;

  • Payment, delivery, and execution methods;

  • The period during which the offer remains valid;

  • Any applicable communication costs;

  • Contract archiving details;

  • Data correction methods;

  • Available languages;

  • Applicable codes of conduct;

  • Minimum duration for ongoing contracts;

  • Available sizes, colors, and materials (if applicable).


Article 5 – The Contract

The contract is concluded once the consumer accepts the offer and fulfills the stated conditions.

Electronic acceptance will be confirmed electronically. Until confirmation is received, the consumer may dissolve the contract.

Noir Valence implements appropriate security measures for electronic data transmission and payments.

Noir Valence reserves the right to refuse orders or impose conditions if payment risks exist.

Each order is subject to product availability.


Article 6 – Right of Withdrawal

Consumers may withdraw from the contract within 14 days without stating a reason. The cooling-off period starts the day after receipt of the product.

Products must be handled with care and returned in original condition and packaging where reasonably possible.

Withdrawal must be communicated in writing or via email within 14 days. Products must be returned within 14 days after notification. Proof of return shipment is required.

Failure to comply with these terms makes the purchase final.


Article 7 – Costs in Case of Withdrawal

Return shipping costs are borne by the consumer.

Refunds will be issued within 14 days after withdrawal, provided the returned product has been received or valid proof of return is supplied.


Article 8 – Exclusion of the Right of Withdrawal

The right of withdrawal may be excluded for products:

  • Made to consumer specifications;

  • Clearly personal in nature;

  • Not suitable for return;

  • Perishable or time-sensitive items;

  • Subject to financial market fluctuations;

  • Newspapers or magazines;

  • Audio/video recordings or software with broken seals;

  • Hygienic products with broken seals.

Services excluded include accommodation, transport, leisure services for specific dates, or services started with consumer consent before the cooling-off period expires.


Article 9 – Prices

Prices remain unchanged during the stated offer period unless VAT changes apply.

Products subject to market fluctuations may have variable pricing.

Delivery takes place outside the EU; therefore, import VAT and customs clearance fees may be charged by the carrier to the recipient. Noir Valence does not charge VAT.

Printing or typographical errors do not entitle the consumer to claim delivery at incorrect prices.


Article 10 – Conformity & Warranty

Products comply with the agreement and legal requirements.

Warranties provided by manufacturers do not affect statutory consumer rights.

Defects must be reported within 14 days of delivery. Products must be returned in original condition.

Warranty does not apply if damage results from misuse, repairs by third parties, or external factors.


Article 11 – Delivery & Execution

Orders are delivered to the address provided by the consumer.

Orders are processed within 30 days unless otherwise agreed.

If delivery is delayed or impossible, the consumer may dissolve the contract free of charge and receive a refund.

Risk transfers to the consumer upon delivery.


Article 12 – Ongoing Contracts

Consumers may terminate indefinite contracts at any time with a notice period of one month.

Fixed-term contracts may be terminated at the end of the term under the same conditions.

Automatic renewals are limited in accordance with applicable consumer law.


Article 13 – Payment

Payments must be completed within 7 business days unless otherwise agreed.

Consumers must report incorrect payment details immediately.

In case of non-payment, Noir Valence may charge reasonable collection costs within legal limits.


Article 14 – Complaints Procedure

Complaints must be submitted within 7 days after discovery of the issue.

Complaints are answered within 14 days. If more time is needed, an acknowledgment will be sent.

If unresolved, disputes may be subject to dispute resolution procedures.


Article 15 – Governing Law

All agreements are governed exclusively by Dutch law, even if the consumer resides outside the Netherlands.
